# End User License Agreement (EULA) **MarigoldShare** — End User License Agreement **Effective Date:** April 15, 2026 **Last Updated:** April 15, 2026 --- ## 1. Introduction This End User License Agreement ("EULA") is a legal agreement between you ("User," "you") and **Marigold Intelligence LLC** ("we," "us," or "our") governing your use of the **MarigoldShare** mobile application and any related software, updates, features, or services (collectively, the "App"). By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, you must not download, install, or use the App. This EULA supplements and is incorporated into the MarigoldShare **Terms of Service**, **Privacy Policy**, **Cookie Policy**, **Community Bylaws**, and **Acceptable Use Policy**. --- ## 2. License Grant Subject to your compliance with this EULA and all other applicable MarigoldShare policies, Marigold Intelligence LLC grants you a **limited, non-exclusive, non-transferable, non-sublicensable, revocable license** to: - Download and install one copy of the App on each device you own or control. - Use the App solely for your personal, non-commercial purposes in accordance with this EULA and the Terms of Service. This license does not include any right to resell, sublicense, or distribute the App. --- ## 3. License Restrictions You agree not to: - Copy, modify, translate, adapt, or create derivative works of the App or any part of it. - Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the limited extent permitted by applicable law notwithstanding this restriction. - Rent, lease, loan, sell, sublicense, distribute, or otherwise transfer the App or your rights under this EULA to any third party. - Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) from the App. - Use the App to develop a competing product or service. - Use the App in any manner that violates applicable law or regulation. - Circumvent or bypass any technological protection measures in the App. - Use automated tools, bots, or scripts to interact with the App in ways not authorized by Marigold Intelligence LLC. --- ## 4. Ownership The App, including all intellectual property rights therein, is and shall remain the exclusive property of Marigold Intelligence LLC and its licensors. Your use of the App does not grant you any ownership interest in the App or any intellectual property rights. All rights not expressly granted in this EULA are reserved by Marigold Intelligence LLC. --- ## 5. Updates and Changes Marigold Intelligence LLC may, from time to time, release updates, patches, or new versions of the App. These updates may be provided automatically or may require your action. By continuing to use the App following an update, you agree to the terms of the updated App and any updated EULA. We recommend that you keep the App updated to the latest version for the best experience and for security purposes. We reserve the right to modify, suspend, or discontinue any feature or aspect of the App at any time, with or without notice, and without liability to you. --- ## 6. Third-Party Software and Services The App incorporates open-source software, third-party libraries, and third-party services. Use of any third-party components or services is subject to their respective license terms and privacy policies. Marigold Intelligence LLC makes no representations or warranties regarding third-party software or services. Current third-party services and system frameworks used by the App include: - **Account authentication:** The App uses email and password authentication. Your password is transmitted only over TLS-encrypted connections and stored only as a cryptographic hash on our servers. Session management uses short-lived JWT access tokens and refresh tokens stored securely on your device. - **AWS S3:** Used to store user-uploaded images (Item photos, profile photos). AWS's terms and data processing agreements apply. - **Google Firebase Cloud Messaging (FCM):** Used to deliver push notifications to your device. Google's privacy policy and terms of service apply to FCM's processing of notification data. - **Google Workspace (Gmail):** Used to deliver transactional emails such as payment notices and account alerts. Google's privacy policy and terms of service apply to email processing. - **Cloud infrastructure provider:** Used to host app data and services. The provider's terms and data processing agreements apply. Future integrations may include SMS gateway providers for text message notifications and additional analytics or support tools. The **Privacy Policy** will be updated before any new service provider that processes personal data is introduced. You can find the current list of service providers at any time in our **Privacy Policy** Section 4. --- ## 7. App Store Terms The App is made available through the **Apple App Store** and/or **Google Play Store** (each, an "App Store"). Your download and use of the App are subject to the applicable App Store's terms of service. In the event of any conflict between this EULA and the App Store terms, this EULA will govern to the extent of the conflict, except where the App Store's terms are mandatory. You acknowledge that: - This EULA is between you and Marigold Intelligence LLC, not between you and Apple or Google. - Apple and Google are not responsible for the App or its content. - Apple and Google have no obligation to provide any maintenance or support services with respect to the App. - In the event of any third-party claim that the App infringes intellectual property rights, Marigold Intelligence LLC (not Apple or Google) is responsible for addressing such claims. --- ## 8. Community Governance Your use of the App to participate in a community — including tool listings, borrowing and lending activity, bill splitting, payment acknowledgment, and dispute resolution — is governed by the **Community Bylaws**, which are incorporated into the MarigoldShare **Terms of Service**. In the event of any conflict between this EULA and the Community Bylaws with respect to community conduct, the Community Bylaws shall govern. --- ## 9. Privacy Your use of the App is subject to our **Privacy Policy** and **Cookie Policy**, which explain how we collect, use, and share your information. By using the App, you consent to our data practices as described in those policies. --- ## 10. No Warranty THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY. Marigold Intelligence LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR THAT DEFECTS WILL BE CORRECTED. --- ## 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Marigold Intelligence LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING LOSS OF DATA, LOSS OF PROFITS, SERVICE INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE CATEGORICAL EXCLUSIONS OF LIABILITY SET OUT IN SECTION 10 OF THE MarigoldShare **TERMS OF SERVICE** — INCLUDING EXCLUSIONS FOR SERVICE OUTAGES, ALGORITHMIC ERRORS, DATA LOSS, AND THIRD-PARTY INFRASTRUCTURE FAILURES — APPLY EQUALLY TO THIS EULA AND ARE INCORPORATED HEREIN BY REFERENCE. IN THE EVENT OF ANY CONFLICT BETWEEN THIS SECTION AND SECTION 10 OF THE TERMS OF SERVICE, THE TERMS OF SERVICE SHALL GOVERN. --- ## 12. Termination This EULA is effective until terminated. Marigold Intelligence LLC may terminate this EULA and your license to use the App at any time if you breach any provision of this EULA or the Terms of Service. You may terminate this EULA at any time by uninstalling and permanently deleting the App from all your devices. Upon termination for any reason: - Your license to use the App is immediately revoked. - You must uninstall and delete all copies of the App in your possession. - Provisions that by their nature survive termination (including Sections 4, 10, 11, and 13) shall remain in force. --- ## 13. Governing Law and Dispute Resolution This EULA is governed by the laws of the State of **Delaware**, United States, without regard to conflict of law principles. Any disputes arising under this EULA are subject to the dispute resolution provisions set out in the MarigoldShare **Terms of Service**, including binding arbitration where applicable. --- ## 14.
